"ClubQ8" General Terms and Conditions of Contract

ART. 1 - PROMOTING ENTITY
Subject
These General Terms and Conditions of Contract (hereinafter "GTC") govern the operation and terms of participation in ClubQ8, the program dedicated by Kuwait Petroleum Italia S.p.A., headquartered in Rome, Viale dell’Oceano Indiano 13 (hereinafter "Q8"), to its registered customers.
ClubQ8 offers participants, as outlined in Article 3 (hereinafter "Member" or "Members"), the opportunity to enjoy certain dedicated benefits as well as the services outlined in Article 1.3 and any additional services that may be introduced. Some of these services will be available at Q8 and/or Q8 Easy branded service stations that are enabled (hereinafter "Points of Sale").
Members, subject to the conditions indicated in these GTC, will have access to the following services:
(A) Electronic Wallet Service: Members can use an electronic wallet to purchase fuel at Points of Sale enabled for the specific service; the electronic wallet can be used by the Member using the Customer Identification Code, as defined below, in accordance with the terms and conditions indicated in Article 4.
(B) Dedicated promotional initiatives and other benefits: Members can participate, using the Customer Identification Code as defined below, in promotional initiatives dedicated by Q8 to ClubQ8 members, such as prize contests, including partnerships with third parties, as well as take advantage of any benefits and discounts that may be offered from time to time. It is understood that, to enjoy certain benefits and to participate in specific promotional initiatives (such as prize contests), Members may be required to accept specific terms and conditions and/or the relevant regulations. In any case, these initiatives will be governed by the terms or regulations in force at the time, which will be available on the website www.q8.it or in the App.
(C) Newsletter Service: Members will receive a newsletter at the email address provided during registration, containing news, data, information, and insights on relevant topics, as well as communications regarding promotional initiatives and/or prize contests dedicated to ClubQ8 members.
(D) Payment via App: Members can pay for fuel purchases at enabled Points of Sale through the dedicated ClubQ8 app (hereinafter "App") using the available payment methods.

ART. 2 - CONDITIONS FOR JOINING CLUBQ8
- ClubQ8 is reserved for individuals who are of legal age and have a tax code issued by the competent Italian authority (hereinafter "Tax Code").
- The following are excluded from participation: (i) managers of Q8 and Q8easy branded service stations, their employees, and their family members; (ii) contractors of Q8 and Q8easy branded service stations, their employees, and their family members.

ART. 3 - METHOD OF JOINING CLUBQ8 AND ACCESSING SERVICES
Registration for ClubQ8 can take place at authorized Points of Sale, through the website www.Q8.it (hereinafter "Website") or through additional digital channels that Q8 may make available. Upon registration, the Member is provided with an identification code (hereinafter "Customer Identification Code") to be used to access the Services.
- Registration for ClubQ8 can be done in the following ways:
- Registration at authorized Points of Sale: The customer provides the personal data necessary for ClubQ8 registration via the point of sale terminals (POS) at the Points of Sale (mobile phone number and Tax Code, which will be acquired by swiping the health card) and simultaneously accepts the present GTC. Registration is completed only after providing this data and confirming the phone number through a PIN sent to the same number. A customer who requests to join ClubQ8 and simultaneously subscribes to the StarQ8 program will receive a physical card (hereinafter "StarQ8 Card"); in this case, the Customer Identification Code is constituted by the number of the StarQ8 Card.
- If the Tax Code cannot be provided during registration (for example, in case of malfunction or unavailability of the health card) or if the phone number is not confirmed via PIN, the customer can complete the registration through the link received via SMS. Registration must be completed within 15 (fifteen) days from the start of the procedure, after which the Customer Identification Code and associated data will be deleted.
- Registration through Website or other digital channels: The customer fills out the registration form, providing the required data (Tax Code and mobile phone number), and accepts the present GTC. Registration is completed only after providing this data and confirming the phone number through a PIN sent to the same number.
- To access certain services, such as the Newsletter Service or certain features or benefits related to prize contests, the Member must provide an email address. If ClubQ8 registration is completed at Points of Sale, the Member can provide the email address by accessing the Website through the link sent via SMS to the number provided during registration and following the double opt-in procedure. It is understood that, to enjoy certain benefits and participate in specific promotional initiatives (such as prize contests), where necessary, Members may be required to accept specific terms and conditions and/or relevant regulations. In any case, the specific initiatives will be governed by the terms or regulations in effect at the time, which will be available on the website www.Q8.it or in the App.

ART. 4 - ELECTRONIC WALLET SERVICE AND PAYMENTS THROUGH APP
- Members who have completed the procedure described in Art. 3 are provided with an electronic wallet for fuel purchases, usable at the enabled Points of Sale, the list of which is available on the Website (hereinafter "Electronic Wallet"). This payment system is available to Members through the Customer Identification Code.
- The Electronic Wallet is a private instrument with limited spendability, pursuant to and for the purposes of Art. 2, paragraph 2, letter m) of Legislative Decree No. 11 of January 27, 2010, and its subsequent amendments, and related regulatory standards. It is therefore guaranteed by Q8 exclusively for purchasing and paying for fuel supplies made by the Member at the enabled Points of Sale.
- The Electronic Wallet can be recharged and used under the following conditions:
- It can be recharged up to a maximum of €500.00/day and €1,500.00/month.
- It can be recharged with amounts no less than €20.
- It can be used for purchases not exceeding €250.00/day and €750.00/month for private customers, and up to €750.00/day and €2,250.00/month for commercial customers.
- The Electronic Wallet can be recharged: i) at the enabled Points of Sale, with cash payment or through credit cards accepted at the Point of Sale; ii) via the Website or other digital channels that may become available, accessing the dedicated area, with payment via credit card or other payment methods that may be introduced in the future, including proximity payment systems. No recharge fees apply. After each recharge, the Member receives confirmation of the successful transaction via the channel used for recharging (POS, Website, or any other available digital channel). Members can check the active balance and transaction history by accessing their reserved area on the Website.
- To make purchases through the Electronic Wallet Service, the available credit must fully cover the purchase cost. It is not possible to partially supplement the amount with other payment methods. The receipt issued after each purchase will indicate the amount paid and the remaining credit.
- The Electronic Wallet Service can be used as follows: i) Members with a StarQ8 Card can make purchases at the enabled Points of Sale by swiping the StarQ8 Card – or entering the Customer Identification Code associated with it on the POS – and entering the PIN received during registration; ii) Members with only a Customer Identification Code (without a StarQ8 Card) must first access the appropriate section of the Website or other available digital channels to generate an 8-digit payment code (hereinafter "Code" or "Codes"), selecting the desired amount and the validity period of the Code. Payment can be made by entering the generated Code on the POS within the selected validity period.
- Members can deactivate the Electronic Wallet Service by notifying Q8 with 30 (thirty) days' notice. In case of deactivation, the Member is entitled to a refund of any remaining credit in the Electronic Wallet.
- Via the App, Members can generate Codes to make fuel purchases at Points of Sale, making the payment through the payment methods made available by Q8.
- In particular, Members can generate Codes via the App using the "Pay with PayPal" feature. In this case, the Member must enter their PayPal credentials and obtain authorization to generate an 8-digit Code. Subsequently, the Member must choose the Code amount within the following limits. The individual Codes generated through the "Pay with PayPal" feature cannot exceed €100, and in any case, the Member cannot generate Codes for more than €150 per week (from Monday to Sunday).
- The Code will be valid for 10 minutes from issuance. Once the Code is generated, the Member will receive a payment authorization message from PayPal. The Member must then enter the Code on the banknote and credit card reader at the Point of Sale, return to the car or turn off the phone, and only then proceed with the fuel dispensing. At the end of the dispensing operation, the amount corresponding to the fuel purchased will be charged to the Member’s PayPal account, which cannot exceed the pre-authorized amount when the Code was generated.
- Members intending to use PayPal for Code payments can activate the "Remember My Data" feature, selectable in the "Settings" menu of the App. This feature allows Members to automatically use their PayPal credentials for all purchases made through the App. Members can disable the "Remember My Data" feature at any time in their reserved area on the Website or App.
- It is understood that Members can use the "Pay with PayPal" feature as long as it remains available in the App.

ART. 5 - DEDICATED PROMOTIONAL INITIATIVES AND OTHER BENEFITS
- Members will be able to participate in dedicated promotional initiatives, including those in partnership with third parties.
- Members may also take part in prize contests (hereinafter "Prize Contests") that may be offered to them, subject to acceptance of the specific rules.
- Within the framework of the Prize Contests, the Member can benefit from special offers and partnerships with third-party companies, including the accrual of points needed to request rewards. For Prize Contests, the delivery of any rewards requested by the Member is managed by the Company in partnership with Amazon EU S.a.r.l.

ART. 6 - CONTRACT DURATION AND WITHDRAWAL
- Participation in ClubQ8 is considered indefinite. However, Q8 reserves the right to discontinue the provision of one or all services related to ClubQ8 with a notice period of no less than 6 (six) months.
- The Member may withdraw from the contract at any time by notifying Q8 with a notice period of no less than 30 (thirty) days, by writing to clienticlub@q8.it. Upon withdrawal, the Member forfeits the right to use all services associated with ClubQ8, including participation in any linked prize contests. It is understood that, in the event of withdrawal, the Member is entitled to a refund of any remaining credit in the Electronic Wallet.

ART. 7 - MEMBER'S RESPONSIBILITY AND MAIN RISKS IN USING THE SERVICES
The Customer Identification Code and StarQ8 Card are strictly personal. Improper use is punishable by law. Kuwait Petroleum Italia S.p.A. may block the use of the Customer Identification Code and request the return of the StarQ8 Card at any time.
The main risk associated with the service is related to fraudulent use by third parties of the Customer Identification Code, the StarQ8 Card, the PIN, or the codes already generated by the Member in the event of loss, theft, forgery, or negligent custody. The Member is responsible for the safekeeping of their Customer Identification Code, the StarQ8 Card, and the PIN provided during registration. The Member must ensure that the PIN remains secret, is not shared or stolen by third parties, and is not written on the StarQ8 Card or stored together with it or with personal documents.
The Member is also responsible for safeguarding the codes generated using the methods outlined in Art. 4 and must ensure that these codes remain secret and are not communicated or stolen by third parties. The Member must immediately report to Q8 any loss of exclusive control of the Customer Identification Code, StarQ8 Card, or codes in accordance with Art. 7. Failure to do so will result in all transactions or operations carried out with the Customer Identification Code, StarQ8 Card, or codes being considered as performed by the Member. It is understood that in the case of forgery, loss, unauthorized removal, or fraudulent or unauthorized use of the Customer Identification Code, StarQ8 Card, or codes, Q8 will not refund any amount used before the receipt of the report from the Member, which must be submitted to Q8 as outlined in Art. 7.
Q8 reserves the right to conduct checks at any time on the use of the Customer Identification Code, StarQ8 Card, and codes, and may disable them if any anomalies indicative of fraudulent behavior are detected. These incidents may also be reported to the competent authorities. It is understood that in cases of judicial or police investigations concerning crimes committed through the unlawful or fraudulent use of Customer Identification Codes, StarQ8 Cards, or codes, Kuwait Petroleum Italia S.p.A. will provide full technical and operational cooperation to the authorities, including the provision of account details linked to the Member as submitted during registration and any other information related to the contractual relationship, without prior notice to the Member.
Kuwait Petroleum Italia S.p.A. will do everything in its power to ensure continuous access to the Services and, in case of interruption, restore them as quickly as possible. However, Kuwait Petroleum Italia S.p.A. is not responsible for interruptions or malfunctions in telecommunications services, electricity supply, or other public utilities, nor for smartphone malfunctions or other communication systems used by the Member to access the Website or App.

ART. 8 - LOSS, THEFT, AND MALFUNCTION OF THE CUSTOMER IDENTIFICATION CODE, Q8 CARD, OR CODES, AS WELL AS LOSS OR THEFT OF DEVICES
- Directly at the POS terminals at the enabled Points of Sale, asking the manager to perform a 'CARD BLOCK' operation. To proceed, you must have your health card, which will need to be inserted into the POS terminal at the Point of Sale. Following this operation, Q8 will promptly block the Customer Identification Code or StarQ8 Card associated with the tax code identified via the health card.
- Via the IVR telephone service (800.01.08.08), selecting the 'CARD BLOCK' option and following the instructions.
- Through the reserved area on the Website or other available digital channels.
In the event of theft, loss, damage, or malfunction of the Customer Identification Code or the StarQ8 Card, the Member can block them by:
Once blocked, the Customer Identification Code or StarQ8 Card will no longer function and cannot be used for accessing the services. If a blocked StarQ8 Card is found, it should be cut or otherwise not used.
To continue using the services, the Member must request a new StarQ8 Card at an enabled Point of Sale (if they already have a StarQ8 Card) or a new Customer Identification Code through the Website. Cards reported as damaged, malfunctioning, stolen, or lost will be placed on a block list.
In case of loss or theft of generated Codes, the Member can request their blocking by calling 800.01.08.08.
If the Member only has the Customer Identification Code and loses, damages, or has the device stolen (e.g., tablet or smartphone) to which the code is linked, the Member must deactivate the association between the device and the Customer Identification Code by accessing the reserved area on the Website. Kuwait Petroleum Italia assumes no responsibility for any consequences resulting from the inability or delay in deactivating the association between the Customer Identification Code and the device used.
In the event of PIN theft or loss, the Member can request the generation of a new PIN at an enabled Point of Sale or through other methods that Q8 may make available. In this case, the Member must present the health card (the same one provided at the time of registration), which will need to be swiped again at the POS to verify the cardholder's identity. During this process, the previously registered mobile number will be displayed, and the new PIN will be sent to this number via SMS. The Member will also have the option to change the mobile number by requesting the manager to perform the 'Mobile Number' transaction via the POS.
In the event of theft or loss of the device (e.g., smartphone, tablet) used with the App and linked to payment methods (e.g., PayPal credentials), the Member must promptly disable the Code generation functionality by accessing the reserved area on the Website. Similarly, if the 'Remember My Data' feature has been activated for PayPal credentials, the Member must promptly disable this feature within their reserved area on the Website or App.

ART. 9 - CHANGES TO THE GENERAL TERMS AND CONDITIONS OF CONTRACT
- Q8 reserves the right to modify, in whole or in part, these General Terms and Conditions of Contract (GTC) at any time for justified reasons, such as the development of services and the App, changes in the technical and commercial costs incurred for service provision, changes in the competitive environment affecting the commercial offer, as well as due to technical or managerial needs or changes in applicable regulations. Notice of these changes will be provided to Members at the contact details provided during registration, at least 15 days prior to the effective date of the changes.
- The changes will be deemed accepted by the Member unless they notify Q8 in writing, before the effective date, of their intent to withdraw from the contract.
- It is understood that any mandatory legislative or regulatory provisions that entail changes or additions to the terms contained in the GTC will automatically and by law be incorporated into these GTC.
- Q8 also reserves the right to introduce additional services within ClubQ8 beyond those listed above, as well as new App features and/or new and additional methods of use (for example, the introduction of additional payment methods or new service channels) that do not alter the fundamental nature and key characteristics of the services already provided in the GTC. Users will be informed of any additional services via notices published on the Website and App, or at the contact details provided. These additions will not be considered modifications to the GTC as outlined in Art. 9.1 above.
- Q8 reserves the right to modify, in whole or in part, these General Terms and Conditions of Contract (GTC) at any time for justified reasons, such as the development of services and the App, changes in the technical and commercial costs incurred for service provision, changes in the competitive environment affecting the commercial offer, as well as due to technical or managerial needs or changes in applicable regulations. Notice of these changes will be provided to Members at the contact details provided during registration, at least 15 days prior to the effective date of the changes.

ART. 10 - PROCESSING OF PERSONAL DATA
Q8 will process the personal data of Members in accordance with the terms and conditions outlined in the Privacy Policy attached to these GTC and available on the website www.Q8.it, in the section dedicated to Club Q8. Any updates to the Privacy Policy will be communicated to Members at the contact details provided during registration.
It is also understood that in the event of judicial or police investigations related to crimes committed through the unlawful use of the StarQ8 Card or the Customer Identification Code, Q8, if required by applicable law, will provide the necessary cooperation to the competent authorities. This includes, if requested and without prior notice to the concerned parties, providing the personal data of the Member associated with the relevant Customer Identification Code or StarQ8 Card, as provided during registration, as well as any other information in its possession related to the existing contractual relationship.

ART. 11 - APPLICABLE LAW AND JURISDICTION FOR DISPUTES
These General Terms and Conditions of Contract (GTC) will be governed by Italian law, and for any disputes related to the interpretation, execution, or termination of their validity, the court of the Member's place of residence or domicile will have jurisdiction, in accordance with Legislative Decree No. 206/2005, if the Member is a consumer.
